 Quantity of shares in Nexstim Plc after completion of the first phase in reducing the quantity of shares

The Extraordinary General Meeting of Nexstim Plc (NXTMH:HEX, NXTMS:STO), the targeted neuromodulation company developing and marketing pioneering navigated personalised, non-invasive brain stimulation systems for the treatment of Major Depression Disorder (MDD), resolved on 21 November 2018 to reduce the quantity of Nexstim's shares without reducing share capital by way of issuing new shares to its shareholders without consideration, and by redemption of Company's own shares without consideration, in such a way that each current 30 shares of the Company shall correspond to one share of the Company after the arrangements related to the reduction of the quantity of Company's shares are completed.

As part of the arrangements in respect of shareholders registered on the Transaction Day (as defined below) in the shareholders' register of Nexstim held by Euroclear Finland Ltd, the Extraordinary General Meeting resolved that the Company shall issue on 23 November 2018 (the "Transaction Day") in maximum 188,500 new shares of the Company without consideration so that the number of all shares per book-entry accounts owned by such shareholders of the Company are dividible by the number 30. 42,721 shares were needed in order to make the number of Company's shares owned by such shareholders dividible by the number 30. Pursuant to the resolution of the Board of Directors today on 23 November 2018, the total number of the new shares issued to such shareholders without consideration was 42,721 shares. After such share issue, the number of the shares in the Company was 97,574,250 on the Transaction Day. Further, pursuant to the resolution of the Extraordinary General Meeting, as further elaborated by the Board of Directors today on 23 November 2018, the Company has on the Transaction Day in connection with the share issue referred to above, redeemed from all shareholders without consideration such number of Company's shares which is required by the redemption ratio of 30/1 to execute the reduction of the number of shares in the Company i.e. altogether 94,321,775 shares of the Company.

Pursuant to the resolution of the Extraordinary General Meeting, the Board of Directors has resolved to annul 94,321,775 Company shares, which became Company's possession on the Transaction Day. After the annulment, the number of the shares in the Company is 3,252.475.

The annulment of the shares in the Company and the new total number of the Company's shares shall be registered within the Trade Register by Monday 26 November 2018. Trading with the reduced number of the Company's shares shall commence on Nasdaq Helsinki and Nasdaq Stockholm on or around 26 November 2018.

Loftleidir Icelandic, a subsidiary of Icelandair Group, will, together with Icelandic investors, submit a binding offer for a 51% of the shares in Cabo Verde Airlines on Cape Verde. Authorities in Cape Verde and Loftleidir Icelandic have been cooperating for some time. In August 2017, Loftleidir Icelandic signed a management agreement with the Cape Verde Government on restructuring Cabo Verde Airlines. The agreement also aimed to strengthen the international airport in Cape Verde, to develop the islands as a promising tourist destination and to build an international hub for connecting flights. Coinciding with the agreement, it was announced that the company was due to be privatised. Cabo Verde Airlines already has operating licenses to fly scheduled flights to Europe and the United States.The purchase price is confidential. However, the acquisition would partly be paid for by the work already completed by Loftleidir Icelandic’s employees. The acquisition is made through a new company, Loftleidir Cabo Verde. Loftleidir Icelandic holds a 70% stake in the company, and other investors 30%. Loftleidir Icelandic’s acquisition of Cabo Verde Airlines does not have significant effect on Icelandair Group's financial statements since Cabo Verde Airlines will not be reflected in the group’s consolidated financial statements. The share will classified as an associated company.

More powerful variant of upcoming compact SUV will use the 302bhp drivetrain from the A35 hatchback

The hot AMG 35 variant of Mercedes-Benz's upcoming GLB compact SUV has been spotted testing in Europe.

Visual differences from the previously spotted standard model include larger wheels to house uprated brakes, a larger air intake on the lower front bumper and a redesigned grille pattern echoing that of other AMG models.

The design of the rear bumper has also been revised to allow for the addition of a dual-exit exhaust system, while the car's lower stance hints at a sportier suspension set-up.

Using the same 2.0-litre mild hybrid petrol engine found in the new A35 hot hatch, the GLB 35 will produce around 302bhp. It will be joined by a range-topping AMG 45 variant after launch.

Previous images showed Mercedes' new BMW X1 rival lapping the Nürburgring Nordschleife in standard form. 

Due to arrive in showrooms next year, the GLB mixes old-school G-Class influences, including a boxy profile and an upright rear end, with contemporary details such as the brand's softer front-end design and LED headlights. 

The GLB, a sibling to the GLA, has been given this less conventional appearance in an attempt to stand out against softer-looking rivals, including the X1 and Audi Q3.

Recent trademark filings suggest that variants badged 200, 220 and 250 will be available, with engines shared with smaller Mercedes offerings such as the A-Class and CLA. 

The engine line-up will feature an updated range of Mercedes and Renault/Nissan-sourced four-cylinder petrol and diesel units, producing upwards of 160bhp. Also planned is a plug-in petrol-electric hybrid variant with a modest pure-electric range.

Development of the long-mooted GLB has been accelerated in order to bring the car to market in 2019.

The move is part of Mercedes’ plan to retain sales momentum in the lucrative premium compact car class.

The GLB is part of a future eight-strong family of compact models announced by Mercedes chairman Dieter Zetsche at the 2018 Detroit motor show. The new high-riding model will slot into the range above the GLA and below the GLC. Its likely starting price will be around £32,000 when it goes on sale in 2019.

One of three additions to Mercedes' existing compact car range of five, the GLB joins a new four-door A-Class Saloon, along with an as-yet-unknown model; one possibility is a dedicated coupé in the mould of the Audi TT. The new line-up has kicked off with the launch of the fourth-generation A-Class.

The GLB is known under the internal codename X247 and is said to draw heavily on the well-received Ener-G-Force concept seen at the 2015 Los Angeles motor show.

It combines styling cues inspired by the tough military vehicle design of the 38-year-old G-Class with more contemporary flourishes from the 2014 G-Code concept, although latest shots of the development model suggest a lower, boxy appearance of the GLK, the GLC predecessor that was never sold in the UK. 

Buyers will be able to choose between a series of optional styling packages, including a rugged-looking off-road appearance, with extra cladding and increased ride height, according to insiders privy to the final design.

Chosen by Mercedes board members over an alternative long-wheelbase B-Class, the standard GLB earmarked for sale in the UK is set to be around 4600mm in length, making it 180mm longer than the recently facelifted GLA.

The GLB is based on a version of Mercedes’ MFA platform that will be reworked to have greater production flexibility and lower weight than today’s structure. It will be offered with a choice of two wheelbases, with either a five-seat or seven-seat layout, in a move mirroring that of the Q3, X1 and Volkswagen Tiguan.

Details remain scarce, but sources suggest the long-wheelbase variant, which extends to almost 4800mm, may be sold only in selected markets, such as China and the US.

Inside, the GLB is expected to share its dashboard and appointments, including a new Comand 6.0in touchscreen infotainment system, with other new compact Mercedes models, including the fourth-gen A-Class, third-gen B-Class and second-gen CLA and CLA Shooting Brake, as well as the new A-Class Saloon.

Borgward SUVs to be sold in UK and Ireland from 2019

Chinese-owned German brand continues its push into Western markets with its range of affordable premium SUVs

Reborn German car maker Borgward will begin selling its models in the UK and Ireland next year. 

The Stuttgart-based firm has signed a deal with importer International Motors to begin importing right-hand-drive variants of its models, with a prospective start date in late 2019. 

Founded in 1919 in Bremen, Borgward rivalled manufacturers such as Mercedes-Benz throughout the 1950s, with cars such as the Hansa 1500, Isabella and P1000, before filing for bankruptcy in 1961.

Now owned by Beiqi Foton Motor, a subsidiary of Chinese giant BAIC, the reborn marque is targeting the global premium SUV market. 

Petrol-engined variants of the Audi Q3-sized BX5 and larger BX7 are already available in Europe, but Borgward will soon reveal electric versions of each, the BXi5 and BXi7, taking aim at the Jaguar I-Pace and Mercedes-Benz EQC respectively. 

The range-topping BX7 TS was revealed at the 2017 Guangzhou motor show and went on sale in Germany in early 2018, at a competitive price of €44,200.

An SUV-coupé, the BX6, was unveiled at the Beijing motor show earlier this year, with a right-hand-drive variant planned for South Africa. 

Borgward’s entry into the British and Irish markets will follow similar launches in other international markets, including Russia and the Middle East, as the company expands westwards.

Birmingham-based International Motors is already responsible for bringing cars from East Asia to the UK, currently holding contracts with Great Wall, Isuzu and Subaru, and previously introduced Hyundai and Ssangyong.

Prices for Borgward models here have not been announced but are likely to be less than those of primary competitors such as BMW and Audi.
